Webcast: SEC Proposed Rules on Executive Compensation |
| Date and Time |
Tuesday, February 14, 2006 at 4:00 PM ET |
| Duration |
60 Minutes |
| Description |
Presented by ACC’s Corporate and Securities Law Committee and sponsored by Morgan Lewis
The Securities and Exchange Commission (SEC) has proposed significant changes to its executive compensation disclosure requirements. The proposals will affect disclosure in proxy statements, annual reports, prospectuses and Forms 8-K. While the enhanced disclosure requirements will not generally be effective until the 2007 proxy season, the new rules may serve as indicators of "best practices" for the 2006 proxy season. This webinar will address the proposed new SEC disclosure requirements and how they will affect compensation practices.
Some of the topics to be discussed:
- New disclosure requirements for annual compensation, incentive programs, equity grants, deferred compensation, SERPs, severance and change of control agreements
- New Compensation Discussion and Analysis requirements
- Issues arising from the requirement that a total compensation amount be shown for each executive
- Expansion of executives and other persons whose compensation will be disclosed
- How the new disclosure rules will affect compensation analysis and practices
- Opportunities for comment under the SEC proposals; open issues
