Environmental due diligence has become increasingly important in recent years.  Environmental due diligence may satisfy different objectives, depending upon the type of the transaction and objectives of the company acquiring real estate or an interest (stock or asset) in another company.  The goal of this webcast is to provide an update on some of the legal requirements that have changed, and to provide some practical tips on how to conduct environmental due diligence quickly and efficiently. The attorneys who present this program will address:
 

  • The purpose and scope of environmental due diligence; how those two issues will affect the process; and some practical tools
  • SEC environmental disclosure obligations
  • Methods for estimating environmental liabilities
  • New regulatory requirements for conducting environmental due diligence (AAI), and the legal protections that a company might enjoy if it conducts due diligence in accordance with these new standards
  • Practical considerations, such as future capital requirements, permitting issues, project constraints (such as endangered species or wetlands), and property transfer disclosure requirements

 
The presenters will describe how these changes are impacting actual transactions and provide some recent case studies.
 
A question and answer period will be included.
